CognoTrain Terms of Service

This Terms of Services was updated on and its effective date is: August 7th, 2022

Introduction

CognoTrain Inc. (“CognoTrain”) helping Alzheimer’s Dementia patients with their day-to-day life. CognoTrain is developing a personalized CognitiveTraining app [Patent-Pending] and ML-based wander Tracker Trainer [Patent-Pending]. We are building a unique software/app for every patient using their own data and training them via games and interactive activities.

The following are the terms and conditions (the “Terms of Use”) of your use of our web sites, including https://www.cognotrain.com/, (together, the “Sites”) and our app/software CognoTrain. These Terms of Use form a legal agreement between you and CognoTrain. You must accept these Terms of Use to use our Sites and our app (Overall platforms) You accept these Terms of Use by visiting the Sites. By accessing or using our Services and Platforms (App, Sites, Tracker Shoe), you thereby agree that you have read, understood, and agree or consent to be bound by these Terms and our Privacy Policy. IF YOU DO NOT AGREE WITH OR CONSENT TO BEING BOUND ANY OF THE TERMS OR OUR PRIVACY POLICY, YOU ARE NOT AUTHORIZED TO USE OUR ENTIRE SERVICES INCLUDING OUR SITE, APP, SOFTWARES AND HARDWARE, THE HIPAA COMPLIANCE ONBOARDING FORM AND ACCOUNTS.

Accounts

You need an account in order to use the Cognotrain platform and services. Keep your password secure, strong and safe, you are responsible for all activity associated with your account

Eligibility: You must be at least 18 years of age to use our Services. By agreeing to these Terms and opening an account on our sites.
You must be the family members or the caregiver of the patient who knows the patient atleast 5 years or more.
Account Security: Your Account is personal to you and the patient, and you may not share your Account information with, or allow access to your Account by, any third party. You need an account for every activity on our platform, including to purchase and signing up for the freemium and premium. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information including a valid email address, physical address, phone number and your relationship with the patient, and the patient’s medical information and history and patient’s life events, their living condition, the favorite/regulr places they visit, the pictures and audios required for the building app. You have complete responsibility for your account and everything that happens on your account, and any information you entered in our onboarding form related to the patient and their medical information and residential living and ALL information you entered in our sites, app, onboarding forms including for any harm or damage (to us or anyone else) caused by someone using your account without your permission.
You may not access or use the Services or create an account for unlawful purposes or behalf of the patient you do not know. Your use of the Services and behavior on our platform must comply with applicable California and national laws or regulations of your country. You are solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to you regarding the accuracy of the information you enter in our site and onboarding forms on behalf of the patient.

Privacy

CognoTrain Privacy Policy applies to your use of the Sites, and its terms are made a part of these Terms of Use by this reference. CognoTrain’s Privacy Policy, at https://www.cognotrain.com/Privacy-Policy

Restrictions, Ownership, and License

All rights, title and interest (including all patents, copyrights, trademarks and other intellectual property rights) in the app/software/wearable hardware and sites and the Materials belong to CognoTrain or the original creator of the material. Further, all games, activities, names, designs, graphical contents, data, images, figures, plots, logos and icons on the app/software/hardware/sites are proprietary information or proprietary marks of CognoTrain or the original creator of the material. All the above are the exclusive property of CognoTrain and are protected by U.S. copyright law, as applicable. You are not allowed to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information obtained directly from the Services and all the CognoTrain platforms (including the Materials, App, software, websites, onboarding forms, and the hardware). Further, you may not reproduce any part of the Services (including the Materials, App, software, websites, onboarding forms, and the hardware) and any such violation with respect to the Services will terminate the license(s) granted herein.

CognoTrain has the right but not the obligation to monitor and edit or remove any information you entered on behalf of the patients. CognoTrain takes no responsibility and no liability for any content the caregiver or the family member entered in our onboarding forms for us to populate the app to the patients use. We assume that the caregivers and family members entered all the information in our Sites and platforms, especially our HIPAA compliant onboarding form.

Subscription Terms

By using a Freemium and Subscription Plan, you agree to the additional terms as follows.

Subscription Cancelation

You may cancel your subscription at any time. If you cancel your subscription to a Subscription Plan, your access to that Subscription Plan will automatically end on the last day of your billing period. On cancellation, you will not be entitled to receive a refund or credit of any fees already paid for your subscription, unless otherwise required by applicable law. For clarity, cancellation of a subscription does not terminate your CognoTrain account and the data you entered in our platform in the onboarding form and in our site.

CognoTrain reserves the right to do any of the following, at any time, without notice: 1) modify, suspend or terminate operation of or access to the Subscription plant if payment declined or suspended, 2) if the person was not authorized to sign up the patient for our platform. 3) If any suspicious activity is reported through the subscriber’s account in our app or all other platforms associated with CognoTrain.

Payments and Billing

The billing cycle is the first day of every month. Cancelation of the subscription requires a full month notice. A failure to pay will terminate the subscription plan and any other services provided through CognoTrain Platform.

A notice of the payment failure will be communicated with the account holder.

Limitation of Liability

COGNOTRAIN CAN NOT GUARANTEE THAT THE PATIENT WILL SHOW SIGN OF ANY IMPROVEMENT BY USING OUR PLATFORM AND SERVICES. COGNOTRAIN IS DESIGNED TO HELP ALZHEIMER’S DEMENTIA AND NOT SURE THEM.COGNOTRAIN ALSO DOES NOT SUBSTITUTE THE FULL TIME CAREGIVER AND PERSONAL CARE. COGNOTRAIN CAN NOT ENSURE THE PATIENT IMPROVEMENT IN COGNITIVE AND MEMORY IMPROVEMENT.

COGNOTRAIN ALSO DOES NOT GUARANTEE TO BE SAFE AGAINST ANY HACKER TO OUR PLATFORM AND SERVICES INCLUDING OUR SITE, APP AND ONBOARDING FORMS. COGNOTRAIN CAN NOT ENSURE THAT THE APP OR SITES WON'T HAVE DOWNSIDE DUE TO TECHNICAL ISSUES OR UPDATES.

COGNOTRAIN CAN NOT ENSURE THAT THE ENTIRE PLATFORM AND SERVICES INVOLVED IN BUILDING, PRODUCING OR DELIVERING THE APP, ONBOARDING FORMS,SITES, SOFTWARE OR HARDWARE, PROMISES THAT THE SITES OR ANY CONTENT, SERVICE OR FEATURE OF THE SERVICES WILL BE ERROR-FREE, VIRUS FREE AND UNINTERRUPTED, OR SECURE. ALSO, THE INFORMATION ABOUT SUBSCRIPTION PLAN AND PRICING AND OUR UPDATED SERVICES ARE SUBJECT TO CHANGE HOWEVER ALL THE CHANGES WILL BE COMMUNICATED WITH OUR SUBSCRIPTION USER IN ADVANCE. IN ADDITION TO THE ABOVE, COGNOTRAIN CAN NOT ENSURE THE SECURE PAYMENT IS CASE OF HACKER ATTACK TO OUR SITE. COGNOTRAIN ALSO DOES NOT GUARANTEE TO BE SAFE AGAINST ANY HACKER TO OUR PLATFORM AND SERVICES INCLUDING OUR SITE, APP AND ONBOARDING FORMS.

Consent to sign the patient

BY SIGNING THE TERMS OF USE AVAILABLE ON THE ONBOARDING FORM, YOU CONSENT THAT YOU ARE THE FAMILY MEME BER OR THE LEGAL CAREGIVER OF THE PATIENT AND HAVE A PERMISSION TO ENTER PATIENTS INFORMATION IN OUR HIPAA COMPLIANCE ONBOARDING SITE. BY SIGNING THE TERMS AND CONDITIONS YOU ALSO GUARANTEE THAT ALL THE INFORMATION YOU PROVIDED ARE CORRECT AND NOT MISLEADING.

Consent to Electronic Communication

You consent to receiving electronic communications from us regarding your Account and our app on behalf of the patient you signed them up to use our services, or for operational and informational purposes. You also agree that by using the Services, you affirmatively consent to CognoTrain using electronic records or your digital signature to satisfy any statute, regulation, or rule of law requiring that such information be provided in writing and that you have not withdrawn such consent.
